-
At the end of the offer, you will hold units in the “ExoShare” FCPE and become an indirect shareholder via the FCPE
As an employee of the EXOSENS Group,
you benefit from preferential terms of participation:

Matching contribution up to €1,240
EXOSENS supports your investment effort in the form of a “matching contribution” which varies depending on the amount of your subscription. The matching contribution will be paid to you in the form of free shares at the end of the lock-up period, around 1st June 2028.
The number of shares offered under the matching contribution will be determined by dividing the amount of the matching contribution to which you are entitled, as per the above table, by the subscription price. If the number of shares obtained does not correspond with a whole number, it will be rounded down to the nearest whole number.
| Amount of your subscription | EXOSENS’ matching contribution | Maximum amount of the matching contribution |
|---|---|---|
| Up to €400 | 150% | €600 |
| €400 to €800 | 100% | €1,000 |
| €800 to €1,600 | 30% | €1,240 |

Examples for a €500 investment
Assumption: Reference price: €40 // Subscription price: €32-
If you invest:€500
-
i.e.:500 ÷ €32 = 15.62 FCPE units
-
The value* of your subscription will be:
-
If the share price increases by 10%15.62 x €44 = €687.28
-
If the share price is stable(15.62 x €40) = €624.80
-
If the share price drops by 10%(15.62 x €36) = €562.32
-
You receive under the matching contribution:€700 ÷ 32 = 21.87 rounded down to: 21 free shares
-
The total value* of your investment will be:
-
If the share price increases by 10%(15.62 x €44) + (21 x €44) = €1,611.28
-
If the share price is stable(15.62 x €40) + (21 x €40) = €1,464.80
-
If the share price drops by 10%(15.62 x €36) + (21 x €36) = €1,318.32
At the end of the subscription period
-
You will receive a number of units in the “ExoShare” FCPE corresponding with your personal payment divided by the subscription price
-
The value of your units will rise or fall with the EXOSENS share price during the lock-up period.
The number of units you hold increases if a dividend payment is approved at a General Meeting of shareholders.
At the end of the 3-year lock-up period
-
You can exit at the EXOSENS share price that seems favourable to you.
You receive the shares offered by EXOSENS under the matching contribution. -
The value of your investment will be calculated based on the number of units held on the exit date multiplied by the EXOSENS share price on the date of sale.
This is supplemented by the value of the shares offered by EXOSENS under the matching contribution. -
If the amount of your investment is greater than your subscription, you make a capital gain.
Please read the local supplement of your country for the taxation of the gain.
Your investment mirrors the EXOSENS share price, which may increase or decline. Consequently, depending on the share price, the value of your assets on exit could be less than your initial investment.
As the EXOSENS share is listed in Euros on the Paris Stock Exchange, the value of your investment during the term thereof will vary based on fluctuations in the exchange rate between the Euro and your currency. This means that if the Euro gains in value against your currency, the value of the shares in your currency will rise. Conversely, if the Euro loses in value against your currency, the value of the shares in your currency will fall.
Your investment is blocked for 3 years in the “ExoShare” FCPE, i.e. until 1st June 2028. There are, however, legal cases of early release, which you can find out about in the local supplement available on this website under the “Documentation” section.
